Big Sur Land Trust Volunteer Photographer Agreement

THIS AGREEMENT is by and between the Volunteer Photographer identified below (“Photographer”) and Big Sur Land Trust (“BSLT”) for the provision of volunteer photography services.

  • 1. BSLT Photographer Rules and Regulations: Photographer’s participation is subject to BSLT’s Volunteer Photographer Guidelines, Requirements, Rules and Regulations (the “Rules”), which are available here and incorporated herein by reference. Photographer acknowledges that it has received, read, and has had an opportunity to ask questions, if any, about the Rules and their application. The parties acknowledge and understand that not every circumstance may be anticipated or addressed concerning the BSLT Volunteer Photographer program and that the need to amend the Rules may arise. As such, the parties agree that BSLT shall have the right to revise, supplement or rescind the Rules at any time.

    2. Waiver, Release, and Indemnification: Photographer understands and agrees that BSLT is not and shall not be responsible or otherwise liable for any illness or injury to persons or damage to property resulting from Photographer’s participation in volunteer activities. Photographer hereby forever releases and holds harmless BSLT, its employees, agents, and representatives, from any and all claims of any kind that he/she, or his/her respective heirs, executors, administrators, or assigns may have or claim to have resulting from participation in volunteer activities. Photographer further agrees to indemnify BSLT from any and all loss where such loss is caused or incurred in whole or in part as a result of Photographer’s gross negligence, or willful or intentional misconduct.

    3. Advertising, Distribution, and Solicitation Prohibited: Photographer agrees that they will not advertise, distribute, or solicit its private photography business, website, or similar venture, in any form or fashion, while providing services under this Agreement. Photographer further agrees that they will not hand out any materials or information at BSLT events.

    4. Ownership of Photos and Grant of License to BSLT:Photographer retains ownership and copyright of photos taken in connection with this Agreement. However, Photographer hereby grants to BSLT a perpetual, royalty-free, non-exclusive license to use and to publish any and all photos taken in connection with this Agreement, individually or in connection with other material, in any and all media now or hereafter known, including the internet, for any purpose whatsoever. Photographer agrees this license grant to the BSLT includes the right to alter or edit the photos without restriction and without Photographer’s prior inspection or approval. BSLT agrees to attribute general photo credit to Photographer when known, but cannot guarantee specific photo credit for each and every instance in which a photo taken by Photographer may be used.

    5. BSLT Name, Logo: Photographer agrees not to use the name or logo of BSLT in any way for any purpose, which would imply BSLT endorsement of such use, without the prior written approval of BSLT.

    6. Independent Contractor: Photographer is not and shall not be considered an employee of BSLT, but shall be considered an unpaid independent contractor at all times while performing services hereunder.

    7. Termination of Volunteer Assignment: Photographer understands that BSLT may terminate his/her volunteer assignment with BSLT at any time, with or without cause. Any conduct or pattern of conduct by Photographer that, in the sole discretion of BSLT, would tend to disrupt, diminish or otherwise impact the public trust in BSLT will result in the immediate dismissal of Photographer.
